Verdict: Agree the replacement and handover before ending the old service. Record the effective dates and file the officer changes promptly. A provider's commercial transfer process and ACRA's filing process are separate; a fast filing does not guarantee that the records have been handed over.
Check the appointment rules
The secretary must be an individual meeting local residency rules and cannot also be the company's sole director. Appointment is required within 6 months of incorporation; the position must not remain vacant for more than 6 months. ACRA officer requirements. Aim for a coordinated handover, rather than using the vacancy limit as your target.
ACRA provides Form 45B, the secretary's consent to act, among the forms retained by the company rather than lodged. ACRA forms and templates.
Prepare the handover
Use this practical checklist with the incoming provider:
- Check the old service agreement for notice, termination charges and prepaid-fee treatment. These are unknown without your contract.
- Ask the incoming provider to check the company's constitution and prepare the appropriate appointment and cessation records, consent and effective dates.
- Agree who will file each change and who owns any imminent annual return or other deadline.
- Request registers, resolutions, minutes, prior filings, pending-work details and access arrangements. Obtain a written handover inventory.
- Confirm whether registered address, accounting or nominee services are separate contracts. Ask for any changes to those services to be quoted explicitly.
Bizfile steps
An authorised officer or CSP can file. Officers cannot withdraw themselves; use another authorised filer. A CSP is required when appointing or withdrawing a foreigner. ACRA filing guide.
Follow the ACRA workflow in Bizfile:
- Log in as a Business User through Corppass. Under Manage, open Appoint/Withdraw position holder and start a transaction.
- Add the incoming secretary's identity and contact details, role and appointment information.
- Select the outgoing secretary's role for withdrawal; enter the cessation date and reason.
- Review, submit, complete any required endorsements and check My transactions for completion.

Provider onboarding, contractual notice, transfer charges and record handover duration are unknown until agreed. The filing deadline runs from the change, not from completion of the handover.
Confirm the transfer is complete
Save the transaction acknowledgement, verify the updated officer record and reconcile the incoming provider's inventory against the outgoing records. Confirm the next filing deadline and its owner in writing. Do not assume paying the new annual fee settles unfinished work or ends other services.
Use the provider verification checklist and published secretary price comparison before signing. The first-year cost guide also separates secretary fees from address, accounting and government charges.
